TERMS OF SERVICE

These Terms of Service (“Terms”) govern access to and use of the Farad Connect website, applications, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use the Services.

For purposes of these Terms:

• “Farad Technologies Group” or “FTG” means Farad Technologies Group LLC, the holder and steward of intellectual property, including U.S. Patent No. 11,962,710 B2.
   
• “Farad Unit” means a patented, energy-originated digital unit defined and governed by systems and methods owned by Farad Technologies Group. Farad Units are not issued, defined, or guaranteed by Farad Connect.
   
• “Farad Connect” means the branded access platform operated by NHV LLC (or its affiliates), providing interface, authentication, and account-related services.
   
• “User” means any individual or entity accessing or using the Services.
   
• “Access Services” means the limited, revocable right to access and use the Farad Connect interface as described in these Terms.
   

Farad Connect is a licensed access platform only.

Farad Connect:

• provides interface, authentication, and account-management services;
   
• enables users to access systems that utilize Farad Units;
   
• does not define, originate, issue, mint, guarantee, or value Farad Units.
   

Farad Technologies Group is the sole owner and authority over the intellectual property that defines Farad Units and related systems.

Nothing in these Terms shall be interpreted to transfer, license, or assign ownership of any Farad Technologies Group intellectual property to users.

Farad Connect does not offer, sell, or promote:

• currency or legal tender;
   
• securities or investment contracts;
   
• commodities or derivatives;
   
• stablecoins, cryptocurrencies, or financial instruments.
   

Farad Units are not:

• a promise of value,
   
• a guarantee of stability,
   
• an investment opportunity,
   
• a right to profits or returns.
   

Use of the Services does not create any expectation of financial gain.

Subject to these Terms, Farad Connect grants users a limited, non-exclusive, non-transferable, revocable right to access the Services for their intended purpose.

This grant:

• does not convey ownership or IP rights;
   
• may be suspended or terminated at any time;
   
• is subject to compliance with these Terms and applicable law.
   

All intellectual property rights related to Farad Units, energy origination systems, and underlying patented technology are owned exclusively by Farad Technologies Group.

All intellectual property related to the Farad Connect interface, branding, and software is owned by Farad Connect or its licensors.

No implied licenses are granted.

Users agree to:

• provide accurate account information;
   
• comply with all applicable laws and regulations;
   
• refrain from misuse, circumvention, or interference with the Services.
   

Users may not:

• attempt to reverse engineer protected systems;
   
• misrepresent Farad Units as financial products;
   
• use the Services for unlawful or deceptive purposes.
   

Farad Connect does not guarantee uninterrupted or error-free access.

The Services may be modified, suspended, or discontinued at any time without notice.

Farad Connect is not responsible for:

• upstream system availability;
   
• external network failures;
   
• changes in regulatory or legal environments.
   

To the maximum extent permitted by law:

Farad Connect shall not be liable for:

• indirect, incidental, consequential, or punitive damages;
   
• loss of data, access, or opportunity;
   
• any claims related to Farad Units themselves.
   

Total liability, if any, shall be limited to amounts paid (if any) for access to the Services.

The Services are provided “as is” and “as available.”

Farad Connect disclaims all warranties, express or implied, including:

• merchantability,
   
• fitness for a particular purpose,
   
• non-infringement.
   

Farad Connect may suspend or terminate access at any time for any reason, including violation of these Terms.

Termination does not affect intellectual property ownership or limitations of liability.

These Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-laws principles.

Venue shall lie exclusively in the courts of Florida, USA.

Failure to enforce any provision shall not constitute a waiver.

If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
